Terms of Service

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization.

2. Accounts & Security

• You must provide accurate, complete, and current information.
• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for all activity under your account.
• Notify us immediately of unauthorized access or security issues.

3. Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, or abusive purposes.
• Interfere with or disrupt the Services or networks connected to them.
• Reverse engineer, decompile, or attempt to extract source code.
• Use the Services to transmit spam, malware, or infringing content.
• Misrepresent your identity or affiliation with any person or entity.

4. Customer Data & Privacy

You retain ownership of data you submit or process via the Services (“Customer Data”). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Data only as necessary to provide and improve the Services. We process personal data in accordance with our Privacy Policy.

5. AI-Specific Terms

• You are responsible for reviewing AI outputs and ensuring compliance with laws and industry regulations.
• AI responses may be inaccurate or inappropriate. Do not rely solely on them for critical decisions.
• You must configure guardrails, redaction, and escalation policies as appropriate for your use case.

6. Subscriptions & Payments

• Fees: You agree to pay all applicable subscription, usage, and other fees.
• Billing: Charges are billed in advance or arrears depending on your plan.
• Auto-renewal: Subscriptions automatically renew unless canceled.
• Taxes: You are responsible for applicable taxes, duties, and fees.

7. Intellectual Property

Instack AI and its licensors own all rights, title, and interest in the Services, including software, content, logos, and trademarks, except for Customer Data and third-party content. These Terms do not grant you any rights to our IP except as necessary to use the Services in accordance with these Terms.

8. Third-Party Services

The Services may interoperate with third-party platforms (e.g., CRM, calendar, telephony). Your use of those platforms is governed by their terms and policies, not ours.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, Instack AI and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our aggregate liability arising from or relating to the Services will not exceed the greater of (a) amounts you paid us in the 12 months before the claim or (b) $100.

11. Indemnification

You agree to indemnify and hold harmless Instack AI, its affiliates, and personnel from any claims, damages, liabilities, and expenses arising from your use of the Services, Customer Data, or violation of these Terms.

12. Suspension & Termination

We may suspend or terminate your access to the Services if you violate these Terms or if necessary to protect the Services or others. Upon termination, your right to use the Services ceases immediately, but Sections 4–13 will survive.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any disputes will be resolved exclusively in the state or federal courts located in Delaware, unless otherwise required by applicable law.

14. Changes to Terms

We may update these Terms from time to time. The “Last updated” date indicates the latest revision. Continued use of the Services after changes become effective constitutes acceptance.
